ゴジラシリーズ第17作、「平成シリーズ」第2作（実際に平成になって制作されたのは本作が初）。 1984年、ゴジラに襲撃された新宿で、その被災現場からゴジラ細胞（G細胞）を密かに盗み出した者がいた。中東サラジア国のエージェントである。その国では遺伝子工学の権威・白神博士がG細胞の研究を行っていたのだ。だが“バイオ・メジャー”と名乗る集団に研究所は破壊され、博士は一人娘の英理加を失ってしまう。一方、ゴジラ襲来から5年後の現在、幼い子供たちがゴジラ復活を予言するような夢を見続けている事が判明する。三原山内において再び活動を開始したゴジラに備え、政府は核を制御する抗核バクテリアの研究を白神博士に依頼する。しかし博士は、亡き娘の細胞が埋め込まれたバラと、ゴジラ細胞を融合させ、ビオランテを生み出してしまう。時を同じくし、ついにゴジラが覚醒。ゴジラとビオランテの激闘が始まる！

ある日、突如日本の首都東京を中心とする半径約30km圏が、厚さ2km、高さ150kmの正体不明の雲に覆われ外部との連絡が途絶してしまう。2000万の人々と日本の中枢機能を雲に呑み込まれ、人々は混乱に陥り日本の統治機構はたちまち機能不全となり全国知事会を基礎とした暫定統治機構（臨時国政代行組織）が樹立されるが、財政・外交を中心に問題は山積する。雲の中に家族を取り残された北斗電機の技術開発部長、朝倉達也は雲の調査から電磁波により雲に穴を開けることができるのではないかと考え、電磁波照射車両による雲への突入を決行する。
